        先就PAPER2.2(UK)考点和重点案例(一)中的内容做些更正和补充。English legal system 中的European Community law 应为jun02的past paper而不是dec02；Contract law 中的Part payment of debt (部分给付) 请不要遗漏须重点了解promissory estoppel (禁止反言原则)! Remedy中的cases: Photo Productions Ltd v Securicor Transport Ltd (1980), Hadley v Baxendale (1845), Victoria Laundry Ltd v Newham Industries Ltd (1949), Craven-Ellis v Canons Ltd (1936), Ryan v Mutual Tonitone Westminster Chambers Association (1893)

5.        Limited liability partnership (dec03)   Paper 2.2 的Examiner David Kelly 在Mar 2003 的student accountant上发表了一篇名为The limited liability partnership的文章，大家可以看一看。

7.        Partner’s liability (jun02/10)   需结合types of partner                 
PART FOUR: COMPANY FORMATION AND CONSTITUTION   

Part four to part six 均为company law.   
共分三部分内容：

  一. Formation and publicity

二. Memorandum of associations

三. Articles of association 通常会再Section A中考到一题!因此为非重点！
（一）FORMATION AND PUBLICITY
1. Types of company     dec01, J02 2.   Differences between private and public company D99 3.   Registration procedures    D99, pilot paper 4.   Promoters and pre-incorporation contracts（incorporation译为注册）   D95, D02 Case: Phonogram Ltd v Lane (1982)     
5. Statutory books and returns（return可译为年检）    D96, jun02

6.      Documents and procedures enable plc to trade (pilot paper, jun02)   

7.   Veil of incorporation & lift the veil jun01, jun03   注：以上7个考点基本不涉及案例，其中1.2.4.7相对比较重要。     
（二）MEMORANDUM OF ASSOCIATOIN

1.       Memorandum of association & contents (clauses) J99, D00, J01

2.       Difference between memorandum and articles D00

3.       Memorandum and name clause J00，dec03，dec0

4 注意memorandum与其他相关概念一起考的出题方式。D00，J00      
（三）ARTICLES OF ASOCIATION
可能会和Memorandum of association一起做比较。

dec02 注意D00/Q 5和alteration of the articles(可能在案例题出现J99第10题)

jun04的第六题要看一看。
Part four小结：这部分内容看似很杂，实际上相互之间都有联系，case 非常之少，在理解上会碰到一定困难，多看看历年考题，多问问tutor为妙。（本人是最怕这部分的考题了。）
