PART FIVE: COMPANY ADMINISTRATION
AND MANAGEMENT
这一部分在公司法中特别重要，因为除了问答题，还可以出大量的案例分析。
（一）MEETINGS
1. Who has the power to call meeting 谁有权招开股东大会 jun00/6, D01/8
和types of meeting有着紧密的联系
不需案例。

2 Types of resolution(共五种)   D02/8, D00/7，D99/11（案例题）, D96, J95（案例题）
不需要案例。
There are three types of resolution can be passed at general meeting:

i.                     Ordinary resolution,

ii.                   Special resolution

iii.                  Extraordinary resolution.
Others, written and elective resolution(for private company)
3 Vote at GM    D01/8
两种方式：By show of hands or by a poll vote

4 Types of meeting & quorum(法定人数)   jun00/6


meeting(股东大会)分三种：
i.                     The annual general meeting (AGM)
ii.                   The extraordinary general meeting (EGA)
iii.                  The class meeting

（二）OFFICERS AND AUDITORS
1 TYPE OF DIRECTOR   jun03/7，dec04/6
理解为主，近年来简答题较多，案例题也会涉及到。

2 COMPANY SECRETARY (J99/7, pilot paper, dec02/12)
既可以考案例，也可以考简答。
SECRETARY掌握以下几点就可以了，appointment, duty, power, 股份公司秘书和私营公司秘书管理上的区别。
3 AUDITORS      D99, jun03/8
Qualification, appointment, removal, rights & duties.

这部分考点不多，很容易理解，主要是两个人“SECRETARY”和“AUDITOR”。请特别注意秘书和代理之间的联系。

(三)directors: Holding office and powers重点
1 appointment and termination of directors   
   可以作为案例题的一部分。特别注意removal and disqualification  
    j95, J99/10，J99/12，00D/11，pilot paper/11，jun03/7, dec03/8

好好看看dec02/12, jun03/7
（四） directors: duties重点
1 director’s duty of care    jun04/12
   这一部分主要和fiduciary duties 一起考。
Case: Re City Equitable Fire Insurance Co. (1925)及由该案例引出的three basic duties of care

2 fiduciary duties of directors  
   J99, J00, D00, pilot paper/11, J02/6，JUN04/12
fiduciary duties分三种：duty to act in good faith for the benefit of the company, duty to exercise properly their powers as directors和 avoid conflicts of interests.
Case: Hogg v Cramphorn ltd (1967)
Aberdeen Railway v Blaikie Bros (1854)

J02/6，J04/12一定要看！！！
3 insider dealing  
   D99, D00, D01/11, dec04
什么是insider dealing？什么是insider？什么叫inside information?
怎么样构成guilty(即offence),如何defense?
详细看d01和d04的考题。

4 wrongful trading, fraudulent trading  
     J99, J01, pilot paper/12, dec03/12
很容易理解，看dec03就可以了。

小结：考点不多，但特别重要。尤其是应对案例题。需特别注意以往的考题。值得注意的是这四个考点相互之间有联系。

（五） majority control and minority protection
J00, D01, jun03,
一般整体出题，有两点必须掌握：
i.                     The rule in Foss v Harbottle (包括这个案例)
ii.                   Minority protection—包括两个层面Secion459和Common Law rules
Secion459: ‘unfairly prejudicial’ and ‘just and equitable winding up’
Case: O’Neill v Phillips (1999)
Re Elgindata Ltd (1991)
Re Harmer Ltd (1958)

Common Law rules
i.                     Acts are illegal or ultra vires
Case: Parke v Daily News (1961)
ii.                   Acts constitute a fraud by the majority on the minority

Case: Cook v Deeks (1916)

Clemens v Clemens (1976)

Daniels v Daniels（1978）
iii.                  The articles of the company require a particular procedure
PART SIX: COMPANY FINANCING AND INSOLVENCY
这部分的内容我不多说了,较为简单, 考点也很集中.

PART SEVEN: LAW OF EMPLOYMENT
这一部分主要看考题：我没选这部分，所以没什么建议, 基本上下列五点弄清楚了就ok了。
THE EMPLYMENT CONTRACT
1.        Contracts of service and contracts for services  (D98, dec03)
2.        Duties of employee J02

TERMINATION OF EMPLOYMENT
3.         CONSTRUCTIVE DISMISSAL J02
4.         UNFAIR DISMISSAL J99，dec02, jun03, dec04
5.         REDUNDANCY D99，D00, jun04/4

答案例题的小技巧：先把题目涉及到的理论写上，再结合题目分析，也就是简答题+分析，分析不要长篇大论，一种情况一两句话就行了，点到即可。此外，contract law的题目不论是section a or b都容易做，不要轻易放弃。
